1. Scope
These general terms and conditions apply to all quotations, orders, agreements and deliveries from Turnkeyrobotic AB ("Turnkeyrobotic", "we") to the customer ("the Customer"), unless otherwise agreed in writing. For engineering and integration services, the latest editions of NL 17 and NLM 19 (general conditions of the technology industries in Sweden and Finland) apply on a supplementary basis.
2. Quotations and orders
Quotations are valid for 30 days from the date of issue. An order is binding for Turnkeyrobotic only when confirmed in writing. Specifications, drawings and technical data remain our property and may not be shared with third parties without consent.
3. Prices and payment
All prices are stated exclusive of VAT, transport, insurance and any installation. Payment terms are 30 days net from invoice date unless otherwise agreed. Late payment interest is charged in accordance with the Swedish Interest Act (Räntelagen).
4. Delivery
Delivery takes place Ex Works (Incoterms 2020) from our facility in Stockholm unless otherwise agreed. Stated delivery times are estimates and assume timely access to information, materials and site readiness from the Customer.
5. Acceptance test
On-site acceptance tests are performed against the agreed specification. Minor remarks that do not affect intended use shall not delay acceptance, but will be remedied during the warranty period.
6. Warranty
We warrant that delivered equipment and integration work are free from material and workmanship defects for twelve (12) months from acceptance. The warranty does not cover wear parts, damage caused by incorrect operation, unauthorised modification, or use outside specified parameters.
7. Liability
Turnkeyrobotic's total liability under an agreement is limited to the invoiced value of the delivery in question. We are not liable for indirect damages such as loss of production, loss of profit or third-party claims, except in cases of gross negligence or wilful misconduct.
8. Intellectual property
All software, source code, drawings, simulations and documentation produced by Turnkeyrobotic remain our intellectual property. The Customer receives a non-exclusive right to use the deliverables for the intended installation.
9. Force majeure
Neither party is liable for failure to perform caused by circumstances beyond their reasonable control, including war, pandemic, strike, fire, component shortage or government action.
10. Governing law and disputes
These terms are governed by Swedish substantive law. Disputes shall be settled by Swedish general courts with Stockholm District Court (Stockholms tingsrätt) as the court of first instance.
